Terms of Service
User access to use the Audocs System and Services is conditional on your acceptance of and compliance with these Terms by accessing or using any Audio Documents Inc., system or services on the X925 server.
Users are responsible for moral and ethical use of the Services, tools or system software. Including but limited to any assets, content, ownership and delivery by automation of such assets and content. Users who deliver or post to third party services via any Audio Documents Inc. tool or service located on the X925 Server, and for any consequences thereof are responsible for the assets delivered and content posted.
Alterations of any internal assets or content not under user control that infringes on the rights of Audio Documents Inc. and others is strictly prohibited. User Uploaded Assets and or Content or submitted, posted, or displayed will be publicly viewable by other users of the Audocs System and Services and or through third party services and websites. Users should only provide owned Assets or Content or shared content that others may consider appropriate to share. This does not indicate a moral bar of approval set by Audio Documents Inc., but suggests a considerable amount of taste when interacting with others, in public sites. Audio Documents Inc. has no measures to enforce such requests, and may present a moral dilemna for some users. In addition, common and moral issues are baselined to practical compliance of human society, including threats of violence, inflcting overt harm, coercion or financial manipulation by schemes that are illegal.
As a result, Audio Documents Inc., practices the highest ethical and moral policies globally. And recognize individual freedom that does not infringe on others individual freedom or rights.
Users who choose to use any Audio Documents Inc. Services is based on their willingness to adhere to a sense of moral and ethical conduct, wether by social contract or common sense. Once again, Audio Documents Inc. has no measures in place to enforce moral and ethical obligations, yet Audio Documents Inc. recomends that users do not impend on personal freedoms of others while using the Audocs System or Services.
Our TOS insures that any user is not a person barred from receiving services under the laws of any applicable jurisdiction. Users may use the Services in compliance with these Terms and all applicable local, state, national, and international laws, rules and regulations.
Audio Documents Inc. provides tools, systems and services to the global public and profesional sector. Research and Developement is the cornerstone to staying competitive in the global market. The baseline of aggregation and delivery of assets and information form the core of the Services that Audocs System and Services provide. Updates may change aspects of terms and may be posted in public with or without notice to users. Audocs System and Services may maintenance and stop (permanently or temporarily) providing any Services (or any features within the Services) to users generally and may not be able to provide you with prior notice.
By organizational policy, Audio Documents Inc., “Audocs" will NOT limit previous services and functions and will perform subsequent versioning and roll-up of versions to make them accessible to loyal users.
Audocs System and Services do not include click driven advertisements. All advertisement, banners or marketing is based on goods and services Audio Documents Inc. provides. Any partner or third party buy-ins, service offers or specials will be conducted with the utmost taste. Mass targeting of third party offers to drive visitors or which may be targeted to the Content or information on the Services, queries made through the Services, or other information is not in the Audocs System or Organization cine, culture or goals. The types and extent of advertising by any Audocs System user on the Services may be subject to change by sale or buy-out. In which case users will be notified by email and may choose to opt-out of the service pending change of the organizational cine or culture.
Advertising on the System or Services will be done so with the utmost taste and at the discretion of partners and those advertised. Any displays of Content or information from the Services whether submitted by users or others, without prior consent may be removed at any legitimat request.
Audocs System and Services will not post advertisements on your behalf without your permission.
Privacy & Storage
Users are urged for keep all passwords memorized or in a safe place. All passwords and email addresses used to access the Audocs System and Services are the responsibility of the user. The varied combination of characters including numbers and letters may insure a well encrypted password and may also prevent others accessing your information. Storing passwords in browsers are at the sole discretion of the user. Audio Documents Inc. indemnifies itself against liability for any loss or damage arising from user forgetfulness or negligence while browsing.
Content on the System or Services
All Assets or Content, whether hosted privately or publicly posted and or publicly or privately distributed, is the sole responsibility of the user and or owner of Assets or Content. We may monitor private assets meant for B2B distribution for the integrity of the Audocs System and Aggregation or other suite of services to partners or 3rd party retailers. Such monitoring will only be done to insure 3rd party standards are adhered to by users. Audocs System can not monitor or control Content publicly posted via any network Services and, we are unable to insure such service integrity. Any social posted based content or use of “Postings" via any of the Audocs System or Services or obtained by you through the Services is at your own risk and by consent. Please be advised, Audocs System Technicians will do their utmost to uphold and maintain the highest standards of software integrity available or integrated in the Audocs System and Services.
Without infringing on individual or business rights, we are unable to endorse, support, represent or guarantee the completeness, truthfulness, accuracy, or reliability of any Assets or Content or communications posted via any System Services or endorse any opinions expressed via any Services, wether by delivery or posting. Users understand that by using Audocs System Services and Tools, they may be exposed to Content that might offend their personal sensibility, culture, upbringing or belief systems. If any content is lue’d or offensive, harmful, malicously inaccurate or otherwise inappropriate, or in some cases, postings that have been mislabeled or are otherwise deceptive and may create harm, feel free to contact us. Under no circumstances can Audio Documents Inc. insure the removal of such information or be held liable in any way for any organizational or individual beliefs expressed in user Assets or Content, including, but not limited to, any errors or omissions in any Content, or any loss or damage of any kind incurred as a result of the use of any Content posted, emailed, transmitted or otherwise made available via the Audocs System and Services or broadcast globally.
Companies, Publishers and PROS or Professionals and in general users of the Audocs System retain all rights to all Assets or Content submitted, delivered and posted or displayed on behalf in service or apart of licensing through any Audocs System, Services and Tools, unless under agreement, contract or licensing through Audio Documents Inc., expressed in writing.
Contracted users, by submitting, posting or displaying Assets or Content on or through any Audocs System or Services, grants licensee as written in terms to use, copy, reproduce, process, adapt, modify, publish, transmit, display and or distribute such Assets or Content in any and all media or distribution methods (now known or later developed). If any individual or organizations finds that any assets or content is being used or distributed without consent, written agreement or approval, please notify us to resolve this issue.
Audocs System and Service users grant Audio Documents Inc. a limited license as authorizing us to make your content available globally, including deliveries to retail partners and services. Wether by partnership of opted in to services and encoding processes. This license does not transfer to self hosted or take away service appliances tools or add on services.
Audocs System license protects purchasers of said license to retain all rights of system use, policy and procedures as deemed necessary by the purchaser of said license for the lifetime of the license. This does not contain the right to rebrand, resale and compete with Audocs System and Services while under the said license, unless written. Licensees may not let others do the same by giveaway, reverse engineering or unpacking of software under license.
You own your content.
Contracted service users agree that this license includes the right for Audocs to deliver on their behalf and to make Assets and Content available to other companies, organizations or individuals who partner with Audio Documents Inc. for the syndication, broadcast, distribution or publication of such Content on other media and services, subject to our terms and conditions for such Assets and Content use.
Audocs System API developers can interact with your content. How and at what rate can be controlled by content owners, in seconds to years inside the dashboard. A flat 30 second interaction is the baseline of the Audio Documents Inc. cine for open access and ecosystem. Beyond 30 seconds will be subject to Audocs System API interaction policies with your rights in mind. All information and 30 second access will remain apart of the Audocs System for the lifetime of the service. 30 second Audio or Video snips are publicly available via API and others database users without consent of the original owner. Any usage beyond 31 seconds must be contracted with PRO societies and or copyright owners directly.
Additional uses by Audocs System and Services, by partners or other companies, organizations or individuals, may be made with no compensation paid to you. Except with respect to the Assets and Content that you submit beyond 31 seconds. Including all advertisement information posts, transformation techniques, delivery and transmitted proprietary workflow or otherwise tools and procedures available through the Audocs System and Services. Shareholders have the right to vote and influence such conditions of the organization. If users wish to become shareholders please contact us.
We may not modify or adapt your Assets or Content without expressed approval. Such adaption is only to adhere to specifications of Assets or Content successful delivery. We urge all users to follow the strict specifications of all internal and external partner delivery parameters. This includes but not limited to audio, visual and metadata submission.
In order to fulfill, transmit, display or distribute Assets or Content server to server or machine to machine (M2M), Audio Documents Inc., may notify by improvement its network and various media and/or make changes to user Assets or Content to meet new standards. A notice may be sent to users and content owners as necessary to conform, change or adapt past, present or future Assets or Content to meet requirements. By default, any limitations of any networks, devices, services or media must be addressed upon fulfillment.
Users and content owners are responsible for access and use of the Audocs System and Services, for any Assets or Content provided, and for any consequences thereof, including the use of your Assets and or Content by other users and any current or future third party partners. The validity or ownership must be indicated if called into question. Users understand that Assets and Content may be rebroadcasted by our System and partners and if you do not have the right to submit Content for such use, it may subject you to liability. Audio Documents Inc. will not be responsible or liable for any use of your Assets or Content by others who have obtained usage by purchase, contract or agreement.
Audio Documents Inc., or any employees may not testify on behalf of users who are sued or questioned for ownership in accordance with these Terms. Users represent and warrant that Assets and Content is theirs, obtained by legal license, purchase or in agreement original content owners. Users must only transmit content they have all the rights, power and authority necessary to grant the rights granted herein to any Asset to Content that they submit.
Audocs Systems and Services may grant users or licenses professional or personal, worldwide, royalty based or royalty-free, non-assignable and non-exclusive license to use the software that is provided to them by Audio Documents Inc. as part of the Audocs System and Services. This license is for the sole purpose of enabling you to use and enjoy the benefit of the Services as provided by Audio Documents Inc., in the manner permitted by these Terms.
All right, title, and interest in and to the Audocs System and Services (excluding Content provided by users) are and will remain the exclusive property of Audio Documents Inc. and any licensors of moving parts (if any). The Services are protected by copyright, trademark, and other laws of both the United States and foreign countries. Nothing in the Terms gives you a right to use the Audocs name or any of the Audio Documents Inc. trademarks, logos, domain names, and other distinctive brand features. Any feedback, comments, or suggestions you may provide regarding Audocs, or the Services is entirely voluntary and we will be free to use such feedback, comments or suggestions as we see fit and without any obligation to anyone.
Restrictions on Content and Use of the Services
We reserve the right at all times (but will not have an obligation) to remove or refuse to distribute any Assets or Content on any Services and to terminate users or reclaim usernames. We technically reserve the right to access, read, preserve, and disclose any information as we reasonably believe is necessary to (i) satisfy any applicable law, regulation, legal process or governmental request, (ii) enforce the Terms, including investigation of potential violations hereof, (iii) detect, prevent, or otherwise address fraud, security or technical issues, (iv) respond to user support requests, or (v) protect the rights, property or safety of Audocs System and Services, its users, the public and Audio Documents Inc.
Except as permitted through any Services (or these Terms), you may have to use the Audocs API if you want to reproduce, modify, create derivative works, distribute, sell, transfer, publicly display, publicly perform, transmit, or otherwise use the Content or Services.
You may not do any of the following while accessing or using the Services: (i) reverse engineer via access, tamper with, or use non-public areas of the Services, X925 servers and Audocs System, or the technical delivery systems of Audocs providers unless employed by Audio Documents Inc. to do so; This includes (ii) probe, scan, or test the vulnerability of any system or network or breach or circumvent any security or authentication measures; (iii) access or search or attempt to access or search the Services by any means (automated or otherwise) other than through our currently available, published interfaces that are provided by Audocs (and only pursuant to those terms and conditions), unless you have been specifically allowed to do so in a separate agreement with Audocs (NOTE: crawling the Services is permissible if done in accordance with the provisions of the robots.txt file, however, scraping the Services without the prior consent of Audocs is expressly prohibited); (iv) forge any TCP/IP packet header or any part of the header information in any email or posting, or in any way use the Services to send altered, deceptive or false source-identifying information; or (v) interfere with, or disrupt, (or attempt to do so), the access of any user, host or network, including, without limitation, sending a virus, overloading, flooding, spamming, mail-bombing the Services, or by scripting the creation of Assets or Content in such a manner as to interfere with or create an undue burden on the Audocs System and Services.
Audio Documents Inc. respects the intellectual property rights of others and expects users of the Services to do the same. We will respond to notices of alleged copyright infringement that comply with applicable law and are properly provided to us. If you believe that any Assets or Content has been copied in a way that constitutes copyright infringement, please provide us with the following information: (i) a physical or electronic signature of the copyright owner or a person authorized to act on their behalf; (ii) identification of the copyrighted work claimed to have been infringed; (iii) identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit us to locate the material; (iv) your contact information, including your address, telephone number, and an email address; (v) a statement by you that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and (vi) a statement that the information in the notification is accurate, and, under penalty of perjury, that you are authorized to act on behalf of the copyright owner.
We reserve the right to remove Assets or Content alleged to be infringing without prior notice and at our sole discretion. In appropriate circumstances, Audocs will also terminate a user’s account if the user is determined to be a repeat infringer.

The Services are Available “AS-IS”
Your access to and use of the Audocs System and Services or any Content is at your own risk. You understand and agree that the Services is provided to you on an “AS IS” and “AS AVAILABLE” basis. Without limiting the foregoing, AUDOCS AND ITS PARTNERS DISCLAIM ANY WARRANTIES, EXPRESS OR IMPLIED, OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. We make no warranty and disclaim all responsibility and liability for the completeness, accuracy, availability, timeliness, security or reliability of the Services or any content thereon.
Audio Documents Inc. will not be responsible or liable for any harm to your computer system, loss of data, or other harm that results from your access to or use of the Services, or any user Assets or Content. You also agree that Audio Documents Inc. has no responsibility or liability for the deletion of, or the failure to store or to transmit, any Assets or Content and other communications maintained by the Services. We make no warranty that the Audocs System and Services will meet your requirements or be available on an uninterrupted, secure, or error-free basis. No advice or information, whether oral or written, obtained from Audio Documents Inc. or through the Services, will create any warranty not expressly made herein. Unless expressed under a warranty agreement.
The Services may contain links to third-party websites or resources. You acknowledge and agree that we are not responsible or liable for: (i) the availability or accuracy of such websites or resources; or (ii) the content, products, or services on or available from such websites or resources. Links to such websites or resources do not imply any endorsement by Audio Documents Inc. of such websites or resources or the content, products, or services available from such websites or resources. You acknowledge sole responsibility for and assume all risk arising from your use of any such websites or resources.
Limitation of Liability By Extent
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AUDIO DOCUMENTS INC. AND ITS SUBSIDIARIES, AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS AND LICENSORS WILL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOOD-WILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (i) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (ii) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES, INCLUDING WITHOUT LIMITATION, ANY DEFAMATORY, OFFENSIVE OR ILLEGAL CONDUCT OF OTHER USERS OR THIRD PARTIES; (iii) ANY CONTENT OBTAINED FROM THE SERVICES; AND (iv) UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE) OR ANY OTHER LEGAL THEORY, WHETHER OR NOT AUDIO DOCUMENTS INC. HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.
Some jurisdictions do not allow the exclusion of certain warranties or the exclusion or limitation of liability for consequential or incidental damages, so the limitations above may not apply to certain users.
Waiver and Severability
The failure of Audio Documents Inc. to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. In the event that any provision of these Terms is held to be invalid or unenforceable, the remaining provisions of these Terms will remain in full force and effect.
Controlling Law and Jurisdiction
These Terms and any action related thereto will be governed by the laws of the State of California without regard to or application of its conflict of law provisions or your state or country of residence. All claims, legal proceedings or litigation arising in connection with the Services will be brought solely in San Francisco or El Dorado County, California, and you consent to the jurisdiction of and venue in such courts and waive any objection as to inconvenient forum. If you are accepting these Terms on behalf of a United States federal government entity that is legally unable to accept the controlling law, jurisdiction or venue clauses above, then those clauses do not apply to you but instead these Terms and any action related thereto will be will be governed by the laws of the United States of America (without reference to conflict of laws) and, in the absence of federal law and to the extent permitted under federal law, the laws of the State of California (excluding choice of law).
We may revise these Terms from time to time, the most current version will always be at our website or associate website. If the revision, in our sole discretion, is material we will notify you via an @audocs.com update or e-mail to the email associated with your account. By continuing to access or use the Audocs System and Services after those revisions become effective, you agree to be bound by the revised Terms.
